1. About Meterhub

Meterhub is a warehousing and logistics company registered in Estonia, operating from Erika tn 15-34, Põhja-Tallinna linnaosa, Tallinn, 10416, Estonia. These Terms of Service ("Terms") govern the relationship between Meterhub ("we", "us", "our") and any business or individual ("Client", "you") that uses our warehousing, storage, order fulfilment, handling, or related logistics services (collectively, "Services").

By placing an order, signing a service agreement, or otherwise engaging our Services, you confirm that you have read, understood and accepted these Terms.

2. Scope of Services

Our Services may include any combination of: secure warehouse storage, goods receipt and put-away, inventory management, order picking and packing, goods despatch, value-added services (relabelling, kitting, repackaging), returns handling, freight coordination, and reporting. The specific services applicable to each Client are confirmed in a written quotation or service agreement.

We reserve the right to decline to store goods that are prohibited by law, require specialist licences we do not hold, or that we deem unsafe or unsuitable for our facility.

3. Quotations and Agreements

All quotations are valid for 30 days from the date of issue unless otherwise stated. A quotation becomes binding only when confirmed in writing by both parties. We may revise pricing upon 30 days' written notice to reflect material changes in operating costs.

Any variation to an agreed scope of services must be confirmed in writing by an authorised representative of Meterhub.

4. Client Obligations

You are responsible for: providing accurate descriptions and quantities of goods to be stored; ensuring that goods comply with all applicable laws and regulations; providing accurate inbound delivery documentation; and notifying us promptly of any changes to your service requirements, including significant volume increases or decreases.

You warrant that you have the right to store the goods in question and that storing them does not infringe the rights of any third party.

5. Payment Terms

Invoices are issued monthly in arrears unless otherwise agreed. Payment is due within 14 calendar days of the invoice date. We reserve the right to charge statutory interest on overdue amounts in accordance with the Interest Act (Intressiseadus) and may suspend services until outstanding balances are settled.

6. Liability and Limitation

We take all reasonable care of goods in our custody. Our liability for loss or damage to stored goods is limited to the lesser of the actual verified loss or the maximum liability agreed in the applicable service agreement. We are not liable for indirect, consequential, or economic losses including loss of profit, loss of revenue, or loss of contracts.

We are not liable for loss or damage caused by events outside our reasonable control, including but not limited to fire, flood, acts of God, acts of government, strikes, or civil unrest.

7. Insurance

We maintain appropriate liability insurance for our operations. Clients are strongly advised to maintain their own goods-in-storage insurance covering the full replacement value of their inventory. We can provide details of our insurance on request.

8. Term and Termination

Unless otherwise agreed in writing, either party may terminate a service agreement by giving 30 days' written notice. We may terminate immediately if you breach a material term of these Terms and fail to remedy that breach within 10 business days of written notice. Upon termination, you must arrange collection of your goods within the notice period. Storage charges continue to accrue until goods are collected.

9. Intellectual Property

All intellectual property rights in our systems, processes, software and documentation remain the exclusive property of Meterhub. No licence is granted to Clients other than as strictly necessary to receive the Services.

10. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Estonia. Disputes shall first be referred to good-faith negotiation. If unresolved within 30 days, disputes shall be referred to Harju County Court (Harju Maakohus) as the court of first instance, unless both parties agree to an alternative dispute resolution mechanism.
